The primary purpose of the Corporate Counsel is negotiating, drafting and reviewing firm contracts such as engagement letters, master services agreements, professional services agreements, government contracts, independent contractor agreements, nondisclosure agreements, business associate agreements, employment agreements and vendor contracts. The Corporate Counsel will also assist in addressing conflicts of interest, training firm personnel on risk matters and special projects as needed.

Responsibilities:
Negotiate, draft and review firm contracts including: engagement letters, master services agreements, confidentiality agreements, professional services agreements, government contracts, request for proposals, independent contractor agreements, nondisclosure agreements, conflict waiver agreements, business associate agreements, employment agreements and vendor contracts
Analyze and properly document conflicts of interest involving the firm and its clients
Address employment issues, professional liability matters, and support the Legal group and the Professional Practice Group as-needed on projects concerning firm policies, procedures, and risk management
Conduct legal research and apply research to facts and is able to communicate the analysis in an easily understood work product to leadership
Identify legal risk issues and propose a plan to mitigate and prevent routine legal risks
Serve as a resource to more experienced counsel for special projects
Prepare and deliver training, memorandums, and presentations to employees, management, executives, or other members of theLegal Department on legal matters
Qualifications:
Bachelor’s degree and Juris Doctorate degrees required
Washington Bar membership preferred
Minimum 5 years of legal experience required, with an emphasis on contract drafting; negotiation experience preferred
Corporate transactional and litigation experience preferred
Highly developed writing, editing and drafting skills that apply across all areas of contract focus
Strong negotiating skills, including experience with shaping strategy and focus across the firm
Excellent analytical abilities and attention to detail, ability to analyze complex financial deals and contract terms
Experience effectively working with senior leadership to execute a task
Ability to collaborate with others and influence when necessary
Understanding of accounting principles preferred
Strong written and verbal communication skills when communicating at all levels within team and across the firm
Ability to travel as needed, approximately 5-10%
