General Scope and Summary
Sage Therapeutics, Inc. is searching for an Associate Director, Corporate Counsel - Securities with law firm experience, preferably representing public biotechnology or pharmaceutical companies, to support and lead a wide range of responsibilities on a growing Legal and Compliance team. This role will play a key role in Sage’s public company and legal operations, and will provide counsel on various matters, including SEC reporting, corporate governance, public disclosure, financing, contractual matters, and a variety of other legal and business issues. This role will also work with the contracts management team to review and negotiate contracts, and collaborate with other members of Legal and Compliance to ensure alignment and execution of the team’s mission and business goals.
Roles and Responsibilities
Working with the Vice President, Corporate Counsel, manage compliance with SEC and NASDAQ rules and regulations, including filing 10-Ks/Qs, 8-Ks, Section 16 filings, the proxy statement and registration statements.
Draft, negotiate, and interpret legal agreements, including but not limited to, clinical trial agreements, informed consent forms, vendor agreements, consulting agreements, master services agreements, and licenses.
Work collaboratively and creatively with internal clients by clearly and effectively rendering practical and timely legal advice on complex issues/concepts.
Provide legal support in connection with existing partnerships and potential financing activities.
Advise on matters related to equity plan administration in collaboration with our Finance and People & Experience teams.
Assist in preparation for annual stockholders’ meetings.
Assist with corporate governance matters, including monitoring trends in corporate governance best practices.
Experience, Education and Specialized Knowledge and Skills

Must possess excellent written and oral communication skills with a strong attention to detail, proven negotiation skills, and ability to communicate complex issues to stakeholders in a simple way and orchestrate plans to resolve issues and mitigate risks. Must have a high degree of emotional intelligence and an unwavering commitment to personal and professional ethics and integrity.
Law Degree from a nationally recognized law school and member of a state bar.
Minimum of 5 years’ legal experience a nationally recognized law firm, preferably with experience representing life sciences companies.
Demonstrated expertise in corporate law, including substantial experience with SEC and NASDAQ rules and regulations, corporate governance and corporate finance.
Experience working on the legal team at a high-growth biopharmaceutical company
Sound business judgment; strategic and analytical thinking.
Self-motivated, flexible and interested in working on a wide range of legal matters in order to understand and advise the Company on legal implications of its business strategy.
Resourceful and able to seamlessly multi-task various matters.
Experience working with all levels of management and key business stakeholders with a demonstrated ability to influence outcomes and effectively identify and communicate legal risks.
Strong team player that can work collaboratively and independently and has a customer service and solution-oriented approach.
Attention to detail and the ability to work individually, within a multi-disciplinary team, and with external counsel, partners, and vendors.
