Description of Work Unit

The Office of the Vice President for Research has overall responsibility for promoting and facilitating the research enterprise at Colorado State University ( CSU ). The Office of the Vice President for Research will enable the University, its faculty, staff, and students to emerge as a world-class research institution complementing our learning, service, and outreach missions. The Office of the Vice President for Research will lead the 21st Century Land-Grant mission of CSU by fostering and supporting the research enterprise, promoting scholarship and artistry, instilling a culture of integrity, inclusion and diversity, and capitalizing on opportunities to address global challenges.

The Office of Industry Research Contracting within the Office of the Vice President for Research is responsible for engaging private industry to develop and strengthen relationships, structure partnerships, and negotiate research and collaboration agreements. Overseen by the Assistant Vice President for Research Translation and Communication, the office handles contract negotiations directly with industry partners in areas including intellectual property, liability, indemnity, governmental immunity, open records, confidentiality, and publication. The office also serves as a resource for general business and transactional support for the research division.

Position Summary

The Office of Industry Research Contracting within the Office of the Vice President for Research ( OVPR ) at Colorado State University is seeking an Industry Contracts Manager. This is a full-time, 12-month administrative professional position and reports to the Director.

The Industry Contracts Manager coordinates the negotiation, execution, and administration of industry research agreements. This requires an understanding and balancing of business and academic terms desirable to the university; business aims and context of the industry research funder; legal, regulatory, and policy strictures; and the specific priorities present within each individual project.

The Industry Contracts Manager serves a critical role in the industry research lifecycle. Their work helps establish the tenor and set expectations for communication and coordination with both industry sponsors and university partners while helping track and monitor the performance of each party during the ensuing research relationship. Close coordination with the Office of Sponsored Programs is required to ensure agreements are integrated into the university’s research administration workflow and are subsequently tracked within the Office of Industry Research Contracting.

In performing this work, the Industry Contracts Manager communicates directly with university researchers, university administrators, and industry partners. A significant legal and administrative knowledge base surrounding commercial contracting must be developed and maintained. In addition, the Industry Contracts Manager must develop a strong understanding of the policy and compliance needs within the university itself and liaise with the various offices that govern each area.

Required Job Qualifications

  • Bachelor’s degree and:

  • Three years of experience reviewing or managing contracts in a university research environment;

OR

  • Five years of paralegal experience with a demonstrated ability to review and prepare a variety of commercial contracts.

  • Ability to efficiently assess and prioritize time-sensitive items while conducting multiple concurrent tasks with varying degrees of complexity and urgency, escalating issues when appropriate.

  • Ability to communicate business processes and requirements to both internal organizational clients as well as external partners.

  • Ability to summarize legal agreements, distill key information, and utilize a tracking system for contract administration.

  • Commitment to diversity and ability to develop and maintain an equitable and inclusive workplace through interactions, decisions, and recommendations.

Preferred Job Qualifications

  • Experience conducting business with public entities.

  • Experience creating training materials and/or conducting training exercises in a professional context.

  • Experience working with or within industries or sectors related to engineering, agricultural sciences, veterinary medicine, biomedical sciences, or the natural sciences.

  • An understanding of federal and state laws and regulations in areas relevant to academic research such as animal and human subjects research, indirect cost recovery, export controls, and data management.

Duty/Responsibility

  • Perform initial review of industry research agreements and suggest edits or flag issues for review by the Director, including incoming and outgoing subcontracts, with the shared goal of ensuring favorable terms for the university in areas such as intellectual property rights, liability/indemnity, warranties, data ownership and use, publication rights, and confidentiality.

  • In coordination with the Director, ensure draft contracts comply with legal and regulatory requirements, as well as university policies and procedures, by liaising with other university units including but not limited to offices overseeing risk management & insurance, human and animal subjects research, export controls, data security, and conflicts of interest.

  • Communicate and collaborate with researchers, research administrators, departmental administrators, and other university stakeholders to identify and prioritize situational contract needs based on the specific industry partner, researcher goals, graduate student participation, nature of the work to be performed, timelines, etc.

  • Draft agreement summaries for use both within the office and as a part of communication with researchers and departments.

  • Efficiently assess and prioritize work items while conducting multiple concurrent projects with varying degrees of complexity and urgency.

  • Promptly respond to, and resolve in a timely manner, inquiries and requests for information or assistance from members of the campus community.

  • Develop and administer the contracting workflow processes and protocols for the Office of Industry Research Contracting.

  • Perform the processing and notation of contract negotiation steps and subsequent completed agreements within existing university workflows and software programs, in close coordination with the Office of Sponsored Programs.

  • Using third-party database software, provide ongoing management of industry research contract performance, including tracking party obligations, timelines, deliverables, and payments, as necessary, including communication with the research teams and departments as needed.
