The Purchasing Contracting Specialist is a vital, intermediate-level role situated within the Category Management Team, part of the broader Global Procurement & Supply Chain function. In support of the Procurement & Supply Chain Excellence Strategy, the Procurement Contracting Specialist will collaborate with Category Management and Legal Team Members to support and streamline contract preparation, negotiation, finalization, and management, ensuring alignment with the organization’s strategic objectives and compliance standards. This role also acts as a pivotal contributor the organization’s contract management continuous improvement journey by identifying and implementing process improvements and efficiencies. This role primarily supports the Advanced Technology Team and will also act as a shared service to all other Systems / Engineered Components Teams, contingent on available resources.

YOUR IMPACT

These duties are not meant to be all-inclusive and other duties may be assigned:

Preparation

  • Identify the appropriate contract template for incoming requests and support first draft development, incorporating all non-commercial and commercial terms based on input from both the Category Management and Legal Teams.

  • Develop a preliminary Executive Summary and compile any other additional relevant information for internal stakeholders and approvers.

  • Guide the development of the negotiation strategy, including the Stakeholder Identification and Analysis Strategy, Contract Guardrails, and a Pre-Mortem Assessment.

  • Support the identification of key variables such as the Most Desired Outcome (MDO), Zone of Potential Agreement (ZOPA), and Best Alternative to a Negotiated Agreement (BATNA).

  • Finalize the internal draft and socialize to key stakeholders to obtain approvals to advanced forward in the process.

Negotiation

  • Lead or support meetings related to the contract negotiation process, taking notes, managing redlines, and sharing meeting minutes on behalf of the lead internal negotiator, leveraging subject-matter expertise to provide feedback where applicable.

  • Coordinate and obtain necessary commentary from internal teams on specific terms.

  • Maintain strong revision history and uphold proper redlining standards for all drafts, frequently utilizing document comparison techniques.

  • Ensure proposed changes follow both Legal and Organizational compliance requirements.

  • Provide key stakeholder updates at set frequencies throughout the negotiation process.

Finalization

  • Manage the contract finalization process, including properly reflecting all approved changes in the clean contract draft and socializing the clean draft for final review.

  • Finalize the Executive Summary developed in the Preparation Phase to include the negotiation results, assessed value of the contract, potential open risks, and provide a health score against the established guardrails and as compared to similar contracts.

  • Ensure the finalized contract is routed through the appropriate approval process, as per organizational and general compliance requirements.

  • Upload the mutually signed contract to the relevant Contract Lifecycle Management (CLM) system and provide all relevant data to support the Contract Management Phase.

Management

  • Develop and maintain, in collaboration with Contract Lifecycle Management software solutions, a Performance & Analytics Dashboard to track metrics such as the percentage of spend under contract, value delivered and expected, and link contract execution to metric improvements (ex. On-Time Delivery, Quality, and Warranty Recovery).

  • Prepare Term Year or trigger summaries for Category Managers, including updates on cost reductions or rebates as of specific dates or performance thresholds, ensuring value is captured throughout the life of the contract.

  • Review supplier requests against existing contracts to determine compliance with contractual obligations and escalate changes in terms proposed by suppliers to the Category Managers for input and decision-making.

  • Provide Category Managers with proactive contract expiration notifications and provide recommendations on how to strengthen the re-negotiation process as based on the latest organizational standards for contracting.

Enhancements

  • Lead the identification and implementation of contract and process improvements to increase efficiency, drive further value in an evolving marketplace, and reduce time-to-execute.

  • Develop and maintain a comprehensive process documentation library, including process maps, policies, procedures, and best practices that are accessible to all relevant stakeholders.

  • Coordinate, and at times conduct, regular training sessions and workshops for Procurement Team Members and other relevant stakeholders to ensure understanding and adoption of current and new processes and technologies.

  • Stay well-informed of industry trends, regulatory changes, and emerging technologies that could impact or benefit the organization’s contracting process.

  • Collaborate with the Business Process and Digital Technology functions to explore and integrate digital tools and solutions, such as next-generation Contract Lifecycle Management (CLM) software solutions, and serve as a key stakeholder representing the Category Management Team during adoption efforts to ensure critical needs are met.

MINIMUM QUALIFICATIONS

  • Bachelor’s degree and three (3) or more years of experience in Business Law or Legal Studies, Global Business or Global Procurement & Supply Chain, and/or other applicable Majors or Concentrations.

  • OR an equivalent combination of education and experience.

  • Ability to travel as needed, up to 5-10% which could include international travel.

STANDOUT QUALIFICATIONS

  • Proficient in multiple facets of Contract Management with an in-depth understanding of Global Procurement & Supply Chain and how that impacts contracting principles and practices, including staying current on relevant industry practices, trends, regulations, and policies.

  • Experience in directly negotiating, or supporting the negotiation of, a high variety of contracts such as Master Supply Agreements (MSAs), Master Professional Service Agreements (MPSAs), Statements of Work (SOW), Joint Development Agreements (JDA), Non-Disclosure / Confidentiality Agreements (CDAs), etc.

  • Competent in interpreting contract terms, identifying risks, and succinctly communicating complex terms in easy-to-understand language.

  • Exceptional organizational and project management abilities, maintaining meticulous attention to detail across concurrent projects in a dynamic environment.

  • Ability to devise innovative solutions to complex challenges, demonstrating creativity and ingenuity.

  • Proven capability to engage effectively and collaboratively in a fast-paced, high-demand, outcome-focused team environment.

  • Highly professional, with outstanding verbal and written communication proficiencies.

  • Flexibility to engage in meetings and calls with global internal and external personnel outside of standard hours and willingness to travel if/as required.

  • Ability to work in a highly matrixed global organization in the international manufacturing sector.

  • Certification in Commercial & Contract Management (CCM), Certified Commercial Contracts Manager (CCCM), Certified Professional Contracts Manager (CPCM), or other relevant specialized training is highly regarded.

  • Experience and proficiency with various software applications including Microsoft Office (Word, Excel, PowerPoint, SharePoint), Contract Lifecycle Management Platforms, etc.
