GEヘルスケア・ジャパンの法務部リーダーとして日常の法務業務に加え各ビジネス部門のパートナーとして医療業界の法律課題を支援していただきます。勤務地は東京都、法務本部長へ報告するポジションとなります。

出社をする場合もありますが、在宅などのリモートワークも可能です。

The role will be responsible for all legal aspects of the GE Healthcare business in Japan. The Senior Counsel will act as a strategic business partner to support the senior business leaders in Japan. This includes providing daily hands-on support as well as supporting Strategic Projects. The Senior Counsel will be based in Tokyo and, report to the General Counsel GE Healthcare Japan.

Job Description

主な業務:

• 代理店契約をはじめ各種契約書の作成、審査、交渉など、契約業務全般。

• 株主総会及び取締役会サポート、登記、文書管理を含むコーポレートガバナンス全般の管理。

• 他部門からの法律相談対応、適切な法的助言の提供。

• 医療業界での一般競争入札について、法務的サポート。

• 営業部門や経営陣のビジネスパートナーとして経営戦略を法務の観点からサポートする戦略法務の実施。

• コンプライアンス部門や人事部と協力し、関連内規の作成や教育を実施し、リスクマネジメントを徹底した予防法務を構築。

• 顧客からのクレームや示談、訴訟など係争案件全般の臨床法務を代理人と共同して実施。

• 各種労務課題を人事部と協力し、対応。 など

応募必須条件

  1. 企業法務10年以上

  2. 日本語でのコミュニケーション能力

  3. 製造メーカー勤務経験

歓迎する条件:

  1. 国内外弁護士資格はプラス。

  2. 医療業界、もしくは医療機器メーカー 経験

  3. 英語力(読み書きできるレベルでも歓迎いたしますが、英語を使用する頻度は高くなってゆきます)

Roles and Responsibilities

  • Providing legal support for all GE Healthcare businesses in Japan with a focus on Healthcare Systems

  • Drafting, analyzing, reviewing, negotiating and advising on commercial business agreements and transactions with key customers and distributors

  • Providing legal advice in public tenders, incl. challenges to tender awards

  • Advising the business on public budget/funding data protection, competition/antitrust, regulatory and advertising/promotional matters, compliance/anti-corruption/anti-bribery/integrity as well as international trade control

  • Providing regulatory and compliance advice related specifically to the healthcare sector - in conjunction with the Regulatory and Compliance specialists in GE Healthcare

  • Counseling on interactions with Healthcare Professionals; monitoring and driving compliance with transparency requirements

  • Complement the Compliance team’s work with legal and compliance trainings where appropriate, serve as escalation point and help with investigations and with making decisions with broader risk implications

  • Developing/applying risk frameworks and appropriate measures to mitigate risk, e.g. assessing more complex deal structures and giving guidance and training to the business teams

  • Drafting and coordinating responses to external regulators and agencies in relation to legal and compliance matters

  • Assisting the management of legal entities, branches and representative offices in Japan and corporate governance in general

  • Be motivator and energizer for a strong culture of integrity, adhering to high ethical, moral and personal values in decisions, communications and actions Collaborating actively with other legal counsels and functions, such as Compliance, Tax, Controllership, Regulatory, Quality and Finance in a matrix organization

Required Qualifications

  • Qualification as a lawyer, preferably Japanese Bengoshi, or other jurisdiction

  • Minimum 8 years of business law experience at a large, preferably international law firm or corporate legal department, including previous experience of drafting, negotiating and closing complex business transactions (i.e. purchase, sale and distribution agreements)

  • Knowledge of FCPA and other anti-bribery laws and regulations

  • Fluent in Japanese. Additionally, business level English

  • Experience working in the Healthcare, and in particular the medical devices sector is a plus

  • Experience as a team leader is a plus

  • Previous experience in identifying and resolving legal issues quickly and effectively and ability to make adequate on the spot risk calls

  • Previous experience prioritizing conflicting demands from multiple business clients in an extremely fast paced environment

  • Proficient level in taking initiatives and closing on tasks

  • Ability to act as a business enabler and to provide solution
