Job Description

A Corporate Paralegal assists a corporation’s legal department with various aspects of corporate law under the supervision of licensed attorneys. Here are some key responsibilities and skills typically associated with this role:

Responsibilities:

  • Document Preparation: Drafting and managing business entity documents such as articles of incorporation, stock certificates, and merger agreements.

  • Contract Management: Creating and reviewing contracts, including employment and non-compete agreements.

  • Regulatory Compliance: Assisting with paperwork required by regulatory bodies like the SEC, IRS, and UCC.

  • Corporate Governance: Preparing corporate resolutions, maintaining corporate records, and assisting with annual reports.

  • Legal Research: Conducting legal research and providing summaries of new legislation or regulations affecting the business.

  • Litigation Support: Supporting litigation, mediation, arbitration, and complaint responses.

  • Licensing: Renewing and maintaining company licenses.

Skills:

  • Attention to Detail: Ensuring accuracy in documentation and filings.

  • Communication: Excellent written and verbal communication skills.

  • Organizational Skills: Ability to multitask and manage various projects simultaneously.
