Position Overview

The Commercial Manager is an integral member of the energy market execution team with responsibility for contract management best practices, compliance, contracting strategy, and risk management/coordination with a strong background in commercial contract management and acumen.

This position is located in the Energy Corridor in the greater Houston, TX area. Responsibilities

The overall responsibility of Commercial Manager entails, in general:

Contract Review

  • Work with internal and external stakeholders to prepare and distribute to the Project Team a consolidated analysis of the contract, highlighting areas of risk and suggested mitigations

  • Develop and implement project commercial management plan incorporating contract management best practices

  • Coordinate and record Legal and SME review of all contract documents, including attachments and exhibits (e.g., scope, schedule, commercials, exceptions, rely-upon etc.)

  • Understand the obligations of all project agreements, including prime contract, JV agreements, subcontracts, major purchase orders, incorporated client agreements, etc.

  • Maintain awareness and action as necessary changes/impacts to taxes, treasury, and finances, for example by a change in law or change to client obtained exemptions

  • Review major risk allocation issues with the Project Team to ensure alignment of understanding

  • Ensure that risk allocation between the parties is clear

Contract Management

  • Ensure understanding of contractual requirements with regard to schedule obligations, e.g., guaranteed date(s), notice of change, interim milestones, and progress measurement

  • Ensure inclusion of key client obligations and deliverables (particularly review and approval periods and acceptance), consistently throughout the contract terms and conditions and across all exhibits and attachments

  • Work with Legal, BLMs and Project Management to prepare the Project Setup and knowledge transfer of commercial information to project execution team

  • Work with Legal and KSN to develop project specific templates for notices, change order requests, change orders and RFI’s

  • Develop tool to understand and monitor commercial project risk and associated costs. Communicate trends, overruns, delays, and opportunities to project management.

  • Engagement with project team to the extent that changes to scope, schedule or execution plan are consistently identified/notified and actioned

  • Work with Finance to ensure project compliance with all financing requirements

  • Support Risk Management in the development and collection of documentation necessary to support claims

  • Identify, monitor, mitigate and maintain visibility of commercial issues

  • Proactively identify and provide recommendations to mitigate project risks

  • Facilitates (with project team) the development, communication, implementation, update, and continual use of the project commercial management plan.

  • Promotes continuous improvement among all stakeholders of the project team

Change Management

  • Ensure the contract’s change management provisions are clear and adequate

  • Ensure contract notice periods, and (back-up) documentation requirements, are reasonable

  • Review schedule to establish clear baseline and logical basis for any changes

  • Ensure that any obligations to utilize and or comply with Client tools, systems and procedures are evaluated and provided for accordingly

Subcontract and Purchase Order Documentation

  • Ensure comprehensive review of prime contract and all applicable flow downs are identified and incorporated into subcontract and procurement documentation to reduce gap risk to Client

  • Assist Subcontracts and Procurement with the development of the Project Subcontracts and Procurement Management Plans

  • Assist in identifying the gap between Kiewit/Client and the subcontractors/vendor and evaluating the exposure in the Risk Register

Qualifications

  • Bachelor’s degree in Business, Engineering, Construction Management or Cost Engineering and 8-10 years of project contract management experience.

  • Strong Business and Commercial acumen

  • Knowledge and experience in development and implementation of scope definition, contracts/subcontracts structure, risk analysis, negotiations and implementation

  • Knowledge and experience in project commercial management plan development and implementation

  • The ability to manage relationships/interfaces with management and functional groups

  • Experience in developing EPC work processes and optimal structure with joint ventures, alliances, and consortiums.

  • Experience with lump sum and reimbursable projects

  • Best Practices/Lessons Learned/Continuous improvement practices

  • Risk Analysis/Contingency Evaluation

  • Understanding of Estimate/Proposal Review Process
