This position is based out of the Nashville office working on a hybrid schedule with flexibility to work remotely. 

About the Corporate Paralegal

Upperline is looking for a Corporate Paralegal to support our General Counsel with the full scope of legal, compliance and business development affairs of the company. The Corporate Paralegal will work directly with the General Counsel in a fast-paced in-house environment to support various company functions.  Tasks will include document production, process management of mergers and acquisitions and various administrative functions. Candidates must be self-starters eager to tackle problems and tasks, both big and small and possess exceptional attention to detail, elite organization and prioritization skills, and the ability to handle sensitive information with confidentiality.  Ideal candidates will have corporate / M&A and contract review experience in a law firm or in-house legal department.  As the company evolves and expands, this position is a unique opportunity to gain valuable experience and feedback while developing legal skills within Upperline’s dynamic and tight-knit legal team.  

What You’ll Do:

  • Support the General Counsel and work cross-functionally across Business Development, Real Estate, HR and Operations departments to produce a high volume of output and organization. 

  • Manage legal intake portal to respond to the company’s various legal needs. 

  • Collaborate and partner with business development team to project manage practice acquisitions and affiliations.  

  • Populate first draft of all acquisition documentation using existing templates. 

  • Coordinate signature pages and compile closing binders for acquisitions 

  • Draft and edit physician employment agreements. 

  • Support all company compliance and litigation response tasks. 

  • Ensure organization of legal team by managing contract management system and inventories of litigation, compliance matters and various other projects. 

  • Coordinate UCC filings and searches.

  • Manage legal org chart and coordinate all entity registrations and filings, including new entity filings, amendments, and annual renewals. 

  • Project management and broad ranging support to General Counsel on various bespoke tasks.

Qualifications of the Corporate Paralegal:

  • A minimum of 3 years of law firm or in-house legal department experience  

  • Values exceptional attention to detail and accuracy 

  • Excellent problem-solving skills and ability to adapt and thrive in a dynamic environment 

  • Strong work ethic and demonstrated experience prioritizing, organizing and meeting deadlines  

  • Excellent verbal and written communication skills 

  • Excellent interpersonal skills and the ability to maturely interact across a broad spectrum of company departments, including multiple levels of management

COMPENSATION

Compensation is commensurate to compensation for similar positions in the region and based on prior training and experience.
