Job Description Summary

Enterprise co-founded Power Forward Communities (PFC), a landmark coalition with some of the country's most trusted community development, climate, and housing organizations. It is purpose-built to decarbonize America's homes and drive a market transformation that cuts costs, benefits renters and homeowners, and focuses on low-income communities nationwide. The EPA hasawarded thecoalitiona $2 billion National Clean Investment Fund (NCIF) grant. Together with our coalition partners Enterprise will use this award to deploy a powerful combination of financing, market building, and community engagement to create healthier, safer, and more affordable homes. The legal department supports all of Enterprise; however, this position will be primarily focused on supporting Enterprise Green Accelerator, Inc., (Green Accelerator) a newly formed entity, which will administer Enterprise's National Clean Investment Fund grant from Power Forward Communities, Inc. ("PFC") as a subaward of federal funds granted to PFC from the U.S. Environmental Protection Agency. More specifically, the Associate General Counsel will support the following areas of Green Accelerator's business: Lending - Green Accelerator will provide innovative capital to net affordable housing projects that reduce or eliminate greenhouse gases. Deployment of Funds - Green Accelerator provides financing to qualifying affordable housing projects throughout the country. Asset Management - Green Accelerator asset manages the portfolio of projects in which the funds invest. Grant Compliance - Green Accelerator is required to comply with the terms its sub-recipient agreement with Power Forward Communities. Corporate Governance - Green Accelerator is a separate corporation with a board of directors responsible for oversight of Green Accelerator's governance. Contracting - Green Accelerator will have to contract with vendors consistent with its obligations as a sub-recipient of federal funds from PFC.

Job Description

Responsibilities:

The Associate General Counsel will work with our business partners and legal team in connection with the following:

  • Develop and maintain template loan documents (with support from outside counsel as needed) for Green Accelerator transactions;
  • Draft and negotiate loan documents and complete settlement of loans for Green Accelerator and advise client on regulatory requirements of sub-recipient agreement, including advising on compliance requirements of Green Accelerator's borrowers;
  • Provide legal support for the asset management of the Green Accelerator portfolio of loans, which includes solving disputes with borrowers, preparing and reviewing amendments to loan documents, and providing counsel on workouts and foreclosures;
  • Counsel business on compliance with terms of the sub-recipient agreement and the related Code of Federal Regulations;
  • Negotiate and review contracts related to Green Accelerator's work;
  • Perform other duties, as assigned, including for Enterprise Community Partners and the other divisions;
  • Conduct legal research on various issues, as needed;
  • Coordinate with outside counsel, as needed; and
  • Occasional travel.

Qualifications:

  • Undergraduate degree and J.D. or LL.M.; a minimum of five years of lending or real estate transactional experience in-house or with a law firm;
  • Experience in drafting and negotiating loan documents;
  • Experience representing lenders in real estate transactions preferred;
  • Experience in government contracts preferred;
  • Experience with exempt organizations, affordable housing and/or green lending a plus;
  • Excellent written and verbal communication skills;
  • Ability to develop positive working relationships with co-workers and clients;
  • Strong critical thinking and analytical skills, including ability to define problems and strategize solutions while considering legal issues and risks;
  • Ability to learn, adapt and pivot quickly; and
  • Ability to work with multiple clients and establish priorities and desire to work in a team environment.

Total Rewards at Enterprise:

The base salary for this role is $170,000 to $200,000, depending on level of skills and experience.

The salary range for this position is represented by the low and high end of the range for the amount to be paid for the position. Salaries paid at Enterprise will vary based on factors that may include skills, education, location, experience, and performance. The salary range is just a part of the total rewards package provided to employees at Enterprise, and other rewards may include annual performance bonuses and generous paid leave programs.
