The Contract Manager is a non-attorney position within the Strategic Corporate Transactions (SCT) department. This role will collaborate closely with the attorneys in the aligned category(ies) to understand and support clients' contracting needs and priorities. It will be the first legal escalation point for contract facilitators for the aligned contract types and/or client groups. The role will review and respond to third- party redlines, and support business stakeholders in understanding potential risks. This position will alleviate demands on transactions attorneys by conducting redline reviews, answering questions, and providing appropriate guidance and training to contract facilitators and other internal stakeholders, including on contracting process and template selection.

Responsibilities:

  • Review, redline, draft, and negotiate routine contracts with minimal supervision for assigned categories, and for complex contracts under the guidance of transactional attorneys.

  • Provide guidance and explanation of risks on contract matters to internal stakeholders including procurement and business units.

  • Partner with transactions attorneys, commercial development law attorneys, and other SMEs to draft and update contract templates.

  • Develop and maintain fallback guidance, playbooks, and other internal contract legal support guidance documents.

  • For legal-led transactions, serve as primary point of contact for external parties, engage internal stakeholders in negotiation decisions, and manage contracts through the negotiation process.

  • Project management and operational support for various contracting initiatives, including SCT-driven template maintenance and updates.

Qualifications:

  • Bachelor's degree required.

  • 3-5 years prior work experience in contract management at a large company or contracts service provider.

  • Experience in the pharmaceutical industry is a strong plus.

  • Strong understanding of key contract provisions and ability to review and respond to redlines.

  • Experience in applying organizational standards when drafting contracts and negotiating terms.

  • Ability to systematically analyze complex problems, draw relevant conclusions and implement appropriate solutions.

  • Demonstrated ability to meet aggressive deadlines and complete multiple assignments in a timely and professional manner.

  • Outstanding written and verbal communication skills with a strong client focus, and comprehensive understanding of contracts and ability to convey complex information in a way that others can readily follow.

  • Excellent negotiating and persuasive skills, both in one-on-one and group situations.

  • Ability to listen to and understand internal client needs, communicate cross functionally with confidence and diplomacy.

  • Strong character and ethics; attention to detail and ability to self-prioritize work on an ongoing basis.

  • Proven time management skills and the ability to handle situational pressures.

  • Ability to sustain high levels of performance in a constantly changing environment.
